TERMS OF USE FOR WORKERS
RESTOBOT Tips and Employee Portal Service - European Union / European Economic Area
Important clauses
These Terms of Use ("Terms") govern the use of the RESTOBOT Tips and Employee Portal service (the "Service") by individuals who register a personal profile to receive voluntary tips from guests and, optionally, to use related features such as the job market listing. The Service is offered across the European Union and European Economic Area.
RESTOBOT NIP 1133092409, REGON 524951267, registered in Warsaw, Poland, email [email protected] ("RESTOBOT," "we," "us," or "the Operator"), operates the Service.
By registering a profile, ticking the acceptance box, or otherwise using the Service, you (the "Worker," "you") enter into a legally binding agreement with RESTOBOT and confirm, in particular, that:
- you are of the legal age of majority in your country of residence and independently eligible to open your own Stripe Express connected account;
- you will not use the Service for any illegal purpose, including money laundering, tax evasion, fraud, or any other criminal or prohibited activity;
RESTOBOT never receives, holds, or has access to your Tips - all Tips are paid directly by the Payer to your own Stripe-connected account; and
RESTOBOT is not liable for Stripe's services, fees, availability, or decisions, nor for any consequence of your use of the optional Job Market feature.
If you do not agree with these Terms, please do not register a profile or otherwise use the Service.
Definitions
Service - the RESTOBOT Tips and Employee Portal functionality, comprising your Profile, your connected Stripe Express account, and any optional features such as the Job Market, available at subdomains and pages of restobot.pro.
Worker - the individual who registers a Profile on the Service, such as a waiter, bartender, barista, host, musician, or similar hospitality or service professional.
Profile - the personal page you create on the Service, comprising the data described in the Privacy Policy for Workers, some of which is displayed publicly at your choice.
Venue - a restaurant, café, bar, or other hospitality establishment operating as a RESTOBOT partner, at which a Worker may provide services.
Payer - a guest who leaves a Tip to a Worker through the Service.
Tip - a voluntary monetary amount transferred by a Payer directly to a Worker through the Service. A Tip is not payment for goods or services.
Stripe - Stripe Payments Europe, Ltd. and its affiliates, the licensed payment institution through which Tips are processed and paid out to your own connected account (Stripe Express). Stripe's terms are available at https://stripe.com/legal.
Job Market - the optional feature allowing a Worker to indicate availability for new employment and to make selected Profile data, including work experience and, if separately enabled, contact details, visible to Venues and other Users.
Personal Goal ("Dream") - the optional feature allowing a Worker to display a personal savings or aspirational target and description on their Profile.
Article 1. Eligibility and Registration
1.1 You may register as a Worker only if you are of the legal age of majority under the law of your country of habitual residence. Separately, you must independently satisfy Stripe's own eligibility criteria for opening an individual connected account (Stripe Express), which may impose additional or different age or documentation requirements. RESTOBOT does not control, and is not responsible for, Stripe's eligibility criteria.
1.2 You must provide accurate, current, and complete information when registering and using the Service, and must promptly update it if it changes. You are solely responsible for the accuracy of all data you submit.
1.3 You may hold only one Worker Profile. You must not create a Profile using another person's identity, or on behalf of another person, without that person's knowledge and authorization.
1.4 You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Article 2. Nature of the Service and Relationship of the Parties
2.1 RESTOBOT provides a technology platform only. RESTOBOT is not your employer, principal, agent, or partner, and these Terms do not create any employment, agency, partnership, or joint-venture relationship between you and RESTOBOT.
2.2 If you are employed by, or otherwise engaged with, a Venue, that relationship is governed exclusively by your own contract or arrangement with the Venue and applicable labour law, and is not affected, created, or altered by these Terms.
2.3 RESTOBOT does not guarantee any minimum number or amount of Tips, any minimum level of Profile visibility, or any employment outcome from use of the Job Market feature.
Article 3. Tips and Payment Processing
3.1 RESTOBOT does not at any point receive, hold, or have access to Tip funds. Tips are charged directly to the Payer and paid directly into your own Stripe-connected account. Funds belong to you from the moment the payment is authorised.
3.2 To receive Tips, you must independently complete Stripe's own verification process (identity documents, proof of bank account, and any other data Stripe requires) and accept Stripe's terms of service and privacy policy. RESTOBOT is not a party to your agreement with Stripe.
3.3 Stripe charges its own processing fee, deducted from amounts paid out to you, in accordance with Stripe's then-current pricing. RESTOBOT does not currently charge you any separate service fee for use of the Service. If RESTOBOT introduces such a fee in the future, it will be disclosed to you in advance.
3.4 RESTOBOT is not a party to, and has no liability whatsoever for, your relationship with Stripe, including the availability of Stripe's services, processing delays, reserve requirements, holds, account freezes, refusal to onboard you, or any decision by Stripe to suspend, restrict, or terminate your connected account.
3.5 You are solely responsible for any refund, chargeback, or payment dispute raised by a Payer, and for cooperating with Stripe's applicable dispute process.
3.6 You are solely responsible for determining, declaring, and paying any tax, social security contribution, or other public charge applicable to Tips you receive, in accordance with the law of your country of tax residence. RESTOBOT does not act as your employer, tax representative, or withholding agent, and provides no tax, social security, or legal advice.
Article 4. Your Profile and Content
4.1 You are solely responsible for the accuracy, legality, and appropriateness of all content you add to your Profile, including your display name, photo, biography, position, social media links, and any other data you choose to provide. You warrant that such content does not infringe the intellectual property, privacy, or other rights of any third party.
4.2 You grant RESTOBOT a non-exclusive, royalty-free licence to display the content of your Profile for the purpose of operating and promoting the Service, for as long as your Profile remains active or as otherwise described in the Privacy Policy for Workers.
4.3 You control which elements of your Profile are publicly visible through the visibility settings available on the Service. Certain elements (such as your display name, photo, position, and Personal Goal) are visible by default to anyone accessing your Profile page; others (such as age, gender, and student status) are hidden by default and are displayed only if you actively enable the corresponding setting, as further described in the Privacy Policy for Workers.
4.4 The Personal Goal ("Dream") feature allows you to display a personal target amount and description on your Profile. This is a personal expression of a savings or aspirational objective. It is not, and must not be presented or described as, a regulated crowdfunding offer, an investment opportunity, a promise of financial return, or a collective investment scheme. RESTOBOT does not verify the purpose you describe, does not manage, ring-fence, or guarantee the collection of any amount toward that goal, and assumes no responsibility for how you use Tips you receive. All Tips remain ordinary, voluntary, and unconditional payments processed as described in Article 3, regardless of any Personal Goal displayed on your Profile.
4.5 RESTOBOT may remove or hide any content from your Profile that violates these Terms or applicable law, without prior notice.
Article 5. Job Market (Optional Feature)
5.1 If you enable the Job Market visibility setting, selected data from your Profile, including your work experience and position and, if you separately enable this, your email address and/or phone number, may become visible to Venues and other Users browsing the Job Market.
5.2 RESTOBOT is not an employment agency, recruiter, or party to any employment or engagement relationship that may result from your use of the Job Market. RESTOBOT does not vet, verify, or endorse any Venue, job offer, or Worker appearing in the Job Market, does not guarantee that you will receive any offer or contact through it, and is not liable for the conduct, solvency, or legality of any Venue or other party that contacts you through this feature, nor for the terms of any employment or engagement you may subsequently enter into.
5.3 You are solely responsible for the accuracy of your declared work experience and qualifications. Misrepresenting your experience or qualifications is a breach of these Terms.
5.4 You may disable Job Market visibility, and the public display of your contact details within it, at any time through your account settings. Disabling visibility stops future display but does not retroactively remove information already viewed, saved, or downloaded by a third party before you changed the setting.
Article 6. Prohibited Conduct
6.1 You must not use the Service, and must not permit or assist any other person to use the Service, for any purpose that is illegal, fraudulent, or unauthorised under the laws applicable to you or to RESTOBOT, including in particular to:
- engage in money laundering, terrorist financing, or any activity intended to disguise the origin, ownership, or destination of unlawfully obtained funds;
- evade, or assist any other person to evade, applicable tax, customs, or foreign exchange control obligations;
- violate applicable sanctions, embargoes, or export-control regimes, or transact on behalf of, or for the benefit of, any sanctioned person or entity;
- receive Tips that do not correspond to a genuine act of appreciation from a real Payer, including staged, fictitious, or self-generated payments intended to move funds between accounts;
- impersonate another person, misrepresent your identity, employer, position, or qualifications, or create or use another individual's Profile without authorisation;
- provide false, misleading, or stolen identification, banking, or verification data to RESTOBOT or to Stripe;
- publish content that is unlawful, defamatory, discriminatory, sexually explicit, exploitative of minors, or that infringes the intellectual property, privacy, or other rights of any third party;
- harass, threaten, or unlawfully discriminate against any Payer, Venue, or other User;
- circumvent, disable, or interfere with the security, verification, or anti-fraud mechanisms of the Service or of Stripe;
- use automated means, including bots or scripts, to interact with the Service other than as expressly permitted.
6.2 You bear sole and full responsibility for your use of the Service, for all content you publish, for all data you provide, and for all funds you receive through it. You are solely liable for ensuring that your activity complies with all laws applicable to you, including anti-money laundering, tax, labour, and consumer protection laws of your country of residence and of any country in which you provide services.
6.3 RESTOBOT reserves the right, at its sole discretion and without prior notice, to suspend or terminate your access to the Service, remove your Profile or any content, and to report any suspected breach of this Article 6 or of applicable law to Stripe, to law enforcement, or to any competent authority.
Article 7. Suspension and Termination
7.1 You may delete your Profile and stop using the Service at any time by contacting [email protected] or through the account settings, where available.
7.2 RESTOBOT may suspend or terminate your access to the Service, with immediate effect and without notice, in the event of a breach of these Terms, in particular Article 6, or where required by applicable law, by Stripe, or by a competent authority.
7.3 Upon termination, your Profile is removed from public view. Your relationship with Stripe, including your connected account and any funds held there, is governed exclusively by your own agreement with Stripe and is not affected by the termination of these Terms. Certain data may be retained after termination as described in the Privacy Policy for Workers, in particular to comply with accounting and tax retention obligations.
Article 8. Disclaimers and Limitation of Liability
8.1 The Service is provided "as is" and "as available." RESTOBOT does not guarantee uninterrupted, error-free, or continuous availability of the Service.
8.2 RESTOBOT does not guarantee any particular volume of Tips, any particular level of Profile visibility, the achievement of any Personal Goal displayed on your Profile, or any outcome from use of the Job Market feature.
8.3 To the maximum extent permitted by applicable law, RESTOBOT shall not be liable for: (a) the availability, performance, fees, holds, or any act or omission of Stripe or any other third-party provider; (b) the conduct of any Payer, Venue, or other User, including any conduct arising from your use of the Job Market feature; (c) any tax, social security, or other public-law consequence of Tips you receive; or (d) loss of profit, loss of income, loss of data, or any indirect, incidental, special, or consequential damages arising from your use of the Service.
8.4 Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded under applicable law, including liability for gross negligence, wilful misconduct, or rights granted to you under mandatory consumer-protection law.
8.5 You agree to indemnify and hold RESTOBOT harmless from and against any claims, damages, fines, or costs, including reasonable legal fees, arising out of: (a) your breach of these Terms, in particular Article 6; (b) your violation of any applicable law; (c) inaccurate, misleading, or unlawful content or data you provide; or (d) any dispute between you and a Payer, Venue, or other third party arising from your use of the Service.
Article 9. Data Protection
RESTOBOT's processing of your personal data is described in the Privacy Policy for Workers, available at www.restobot.pro/worker/privacy, which forms an integral part of these Terms by reference.
Article 10. Confidentiality
Each party undertakes to maintain the confidentiality of the other party's non-public information obtained in connection with the Service, except where disclosure is required by law or necessary for the performance of the Service, including disclosure to Stripe, sub-processors, or competent authorities.
Article 11. Changes to these Terms
RESTOBOT may update these Terms from time to time. Material changes will be notified to you by e-mail or through the Service with reasonable advance notice. Continued use of the Service after such notice constitutes acceptance of the updated Terms. If you do not agree with a change, you may stop using the Service and delete your Profile.
Article 12. Governing Law and Disputes
These Terms are governed by Polish law and applicable European Union law. Any dispute arising out of or relating to these Terms shall be subject to the jurisdiction of the courts having jurisdiction over RESTOBOT's registered address in Warsaw, Poland, without prejudice to any mandatory rule that may grant you, as a consumer, the right to bring proceedings before the courts of your own place of habitual residence within the European Union.
If you are a consumer resident in the EU, you may also use the European Commission's Online Dispute Resolution (ODR) platform.
Article 13. Miscellaneous
13.1 If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13.2 Neither party is liable for any failure to perform caused by events beyond its reasonable control, including failures of Stripe or other third-party infrastructure providers, internet or telecommunications outages, natural disasters, war, or governmental action.
13.3 You may not assign or transfer your rights or obligations under these Terms to any other person without RESTOBOT's prior written consent.
13.4 These Terms, together with the Privacy Policy for Workers, constitute the entire agreement between you and RESTOBOT regarding the Service.
